    Incoterms® 2010 rules came into force on January 1, 2011. This is the eighth Incoterms® revision since their inception in 1936. During its 2 ½ year revision process, international business and legal experts considered more than two thousand recommendations from many of the 130+ countries with which the International Chamber of Commerce (ICC) has a relationship. The result is a vastly improved version, tailored specifically to the needs of users throughout the world.

    American users have a particular stake in the Incoterms® 2010 rules.  In 2004 the shipment and delivery terms formerly found in parts 2.319 through 2.324 of the Uniform Commercial Code were deleted.  Free of the “FOB confusion” found in the old UCC terms, Incoterms® rules make a logical replacement.  Incoterms® 2010 rules are far more amenable to U.S. domestic use than any previous version. The changes are both sweeping and practical.  This revision considers the post 9/11 cargo security regulations and new Institute Cargo Insurance Clauses.  Delivery, if tied to ownership, critically important for revenue recognition compliance, is also addressed in far greater detail.

    This half-day seminar provides a basic overview of the rules and materials you need to use these improved Incoterms® rules to your advantage.  While the cost of this class DOES NOT include a copy of Incoterms 2010, copies will be available as an optional purchase at the class.

    Consider taking both the “Foundations of Incoterms 2010” and “Advanced Incoterms 2010” as a full-day training.  Register for both classes and lunch will be included from 12:00pm-1:00pm.

    This two-day program is led by the Bureau of Industry and Security’s professional counseling staff and provides an in-depth examination of the Export Administration Regulations (EAR). The program will cover the information exporters need to comply with U.S. export control requirements on commercial goods. We will focus on what items and activities are subject to the EAR; steps to take to determine the export licensing requirements for your item; how to determine your export control classification number (ECCN); when you can export or re-export without applying for a license; export clearance procedures and record keeping requirements; Export Management Compliance Program (EMCP) concepts; and real life examples in applying this information. Presenters will conduct a number of "hands-on" exercises that will prepare you to apply the regulations to your own company's export activities. This program is well suited for those who need a comprehensive understanding of their obligations under the EAR.

    Lawyers interested in Continuing Legal Education (CLE) Credits are eligible to receive fourteen (14) general credits from this training.

    This course covers how importers and exporters can identify the financial risks and us the appropriate tools including: letters of credit, common documentary inaccuracies and errors, financing and insurance programs available through the U.S. government, and economic issues to consider in international trade such as currency and exchange rates.

    This course will introduce you to the basics of Letters of Credit; review the purpose and function of the UCP 600 rules; instruct the buyer how to issue a L/C; know what a confirmed L/C is; understand what assignments, transfers, time drafts, and standby L/Cs are; learn how to reduce the most common discrepancies in documents.  In addition discover six tips for reducing the costs of L/Cs; and understand which payment terms work best with each Incoterm.  Copies of the UCP Rules will be made available as an option purchase at the seminar.

    Corruption is omnipresent in international trade.  It is estimated that over 10% of the cost of international trade involves the payment of bribes and other forms of corruption.  Worldwide legislators, international business, and law enforcement agencies have responded to increasing levels of corruption with new conventions and local laws barring certain bribes and corrupt practices, along with increasing levels of policing and prosecution. The United States in particular leads the way on the enforcement of international anti-bribery laws. Not only do these laws cover the bribery of public officials, but prohibitions have been enacted and enforced against purely private bribery as well.  This class focuses specifically on anti-bribery law as the most common form of corruption, including the U.S. Foreign Corrupt Practices Act, the U.S. Travel Act combined with the Colorado Commercial Bribery statute, the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions, and the UK Bribery Act 2010.  Other forms of corruption such as prohibitions on the exercise of influence over public officials and anti-money laundering are not covered in this course.

    The course covers the most common and relevant anti-bribery laws for Colorado companies, reviews special issues on the use of intermediaries, provides recent case examples, describes future trends, and offers resources on creating all-important anti-bribery compliance programs.

    This is a four hour (half-day) course designed to educate businesses on effective dispute resolution clauses and mechanisms in their international deals.  The course uses a running simulated case involving a sale of wine between a Western Colorado winery and a Macau casino buyer operating out of Hong Kong.  The course first identifies possible dispute resolution forms including negotiation, mediation/conciliation, court-based litigation, and arbitration.  The preferred method of dispute resolution in international deals is arbitration and the course focuses on how arbitration can be a particularly effective form of international dispute resolution.  Our examination of international dispute resolution will examine the interaction between all possible forms of dispute resolution, issues to consider when choosing dispute resolution mechanisms, and issues to consider when designing dispute resolution clauses in contracts.

    Those companies that either purchase or sell their products internationally wherein the transactions are settled in currencies other than their functional currency, the US Dollar.   In cases where companies purchase or sell products for which the transactions are settled in foreign currencies, the Company takes on foreign exchange risk due to the fluctuations in the exchange rate between the foreign currency and the US Dollar.   Therefore, this class will explain 1) the nature of these risks, 2) how derivatives can be properly utilized to help offset these risks, and 3) how the Company should account for these transactions and derivatives in their financial statements.

    Prior knowledge

    Not required, however a general understanding of how exchange rates work and what derivatives are.
